1. Agreement
By using Nearlimit at nearlimit.com (the "Service") you agree to these Terms. If you do not agree, do not use it.
The Service is operated by Edgewater Media LLC, a Florida limited liability company. These Terms apply in the same form across the sites and applications we operate.
2. The Service
Nearlimit is a free web-based tool that compresses and converts files to fit upload and email limits. Files are processed in your own browser and are not uploaded to us.
Some of what we operate is free and needs no account. Some requires registration, and some is paid. The sections below apply where the relevant feature exists on this site.
3. Your Account
Where the Service offers accounts:
- Give accurate information when you register and keep it current
- Keep your password confidential. You are responsible for activity under your account
- Tell us at once if you think someone else has access
- One person per account unless a plan says otherwise
4. Acceptable Use
You agree not to:
- Upload or submit illegal, infringing or abusive content
- Use the Service to harass or harm anyone
- Try to reach any part of the Service, or anyone else's data, that is not yours
- Scrape, crawl or extract data with automated tools
- Interfere with how the Service runs or with its security
- Resell or redistribute the Service without our written permission
- Use the Service to build a competing product
5. Ownership
- Your content
- Anything you upload or enter stays yours. You grant us a limited licence to store, process and display it for the sole purpose of running the Service for you. That licence ends when you delete the content or close your account.
- Our content
- The design, features, text, data and code of the Service belong to Edgewater Media LLC. Do not copy, modify or reverse engineer them.
- Feedback
- If you send us a suggestion we may use it without owing you anything for it.
6. Payment
Where the Service offers paid plans:
- Billing
- Monthly in advance by card through Stripe, renewing automatically until you cancel.
- Free tiers
- Where a free tier exists, its limits are shown on the pricing page. You are never charged automatically for reaching a limit. Hitting one shows you the upgrade, and nothing is billed until you choose it and enter payment details.
- Refunds
- 14 day money back guarantee for first time subscribers.
- Cancellation
- Cancel any time. Access runs to the end of the period already paid for. Partial months are not prorated.
- Price changes
- 30 days notice by email before any increase, never applied to a period already paid for.
- Failed payments
- We retry and email you. An account that stays unpaid moves to the free tier rather than being deleted.
- Taxes
- Prices exclude any sales tax or VAT, which is added where it applies.
7. Advertising
Some of what we operate is free and paid for by advertising supplied by third party networks. Where the Service carries ads, we do not control the content of individual ads and we do not endorse what they promote. Any dealing with an advertiser is between you and them.
8. Privacy
Your use of the Service is also governed by our Privacy Policy, which explains what we collect and who processes it. We do not sell your personal information.
9. Availability and Backups
- We aim for high uptime and do not guarantee uninterrupted access
- We give advance notice of planned maintenance where we can
- Keep your own copies of anything you cannot afford to lose. Export is available wherever the Service stores your content
- We may change, suspend or discontinue any feature. Where a paid feature is discontinued we will refund the unused portion
10. Termination
- You may stop using the Service, or close your account, at any time
- We may suspend or close an account that breaks these Terms
- After closure your data is deleted within 30 days, or immediately on request
11. Disclaimer and Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided "as is" and "as available", without warranties of any kind, express or implied
- Any output the Service produces, including a calculation, estimate, timesheet, report or total, is for your own use and is yours to check. It is not professional, legal, financial, tax or accounting advice, and no professional relationship is created by using it
- We are not liable for indirect, incidental, special or consequential damages, or for lost profits or lost data
- Our total liability for any claim is limited to the greater of one hundred US dollars or the amount you paid us in the 12 months before the claim arose
Some jurisdictions do not allow these limits, in which case they apply to the fullest extent the law permits.
12. Indemnification
You agree to indemnify and hold harmless Edgewater Media LLC against claims, damages and expenses arising from your use of the Service or your breach of these Terms.
13. Governing Law
These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles. Any dispute will be heard in the courts of Brevard County, Florida, and both sides consent to that venue.
14. General
- Changes
- We may update these Terms. Continuing to use the Service after a change means you accept it, and where you have an account we will email you about anything material.
- Severability
- If any provision is held unenforceable, the rest stays in force.
- Entire agreement
- These Terms and the Privacy Policy are the whole agreement between us about the Service.
- Assignment
- You may not assign these Terms. We may, as part of a merger or sale of assets.
